Basic licensing terms at WUR
Wageningen University (WU) and Stichting Wageningen Research (WR), together as partnership referred to as Wageningen University & Research (WUR), offer patent licensing under fair and transparent conditions, aligned with Dutch and EU regulations, including knowledge valorization policies.
Depending on the strategic relevance of the patent, companies may:
- Purchase the patent for a fair market fee, or
- License the patent under agreed fair market terms
Standard licensing terms shall, amongst others, include:
- Intellectual property provided as-is
- Reimbursement of historic patent costs
- Coverage of future patent costs
- An anti-shelving clause (licenses are granted for active use only)
- Periodic reporting on R&D and commercialization efforts
- Retention of rights for WUR’s research and education purposes (academic license)
- Patent management remains with WUR, in consultation with the licensee
Negotiable aspects include:
- Exclusive or non-exclusive rights, based on strategic fit and prior commitments
- Field-of-use limitations, to ensure alignment with WUR’s mission and public interest
- Territory
- A fair market price, typically structured as an annual license fee combined with a royalty on net sales, based on commercial potential and development stage. Alternative models may be considered depending on industry-specific needs.
Licenses are based on the national template for socially responsible licensing.
